Terms of Service

Effective

These terms govern your use of the Tallier desktop app and the tallier.app website, both provided by Paracosmos Studio Inc. By using either, you agree to them.

License

Tallier is open-source software licensed under the GNU AGPL-3.0-only. That license, not these terms, governs your rights to use, copy, modify, and distribute the software, and nothing here restricts those rights. The source lives at github.com/paracosmos-studio/tallier. Copies obtained from the Mac App Store are additionally subject to Apple's terms.

The service

Tallier runs entirely on your device. We also operate optional hosted services: the release feed used for update checks, the download redirect on tallier.app, and the opt-in anonymous usage ping. We may change, suspend, or discontinue any hosted service at any time, without notice. The app keeps working without them.

Your data and responsibilities

Your tracked time, projects, clients, and invoices are stored locally and belong to you. You are responsible for backing them up and for the accuracy and legal compliance, including tax compliance, of documents you generate with Tallier, such as timesheets and invoices. Tallier is a tool; it is not accounting, legal, or tax advice.

Acceptable use

Do not abuse the website or its APIs. That includes attempting to breach security, circumventing rate limits, disrupting the hosted services, or using them for unlawful purposes.

Trademarks and content

The Tallier name, logo, and website content are owned by Paracosmos Studio Inc. The AGPL license covers the source code; it grants no rights to our trademarks.

Disclaimer of warranty

The app and the hosted services are provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, consistent with sections 15 and 16 of the AGPL. You use them at your own risk.

Limitation of liability

To the maximum extent permitted by law, Paracosmos Studio Inc. is not liable for indirect, incidental, special, or consequential damages, or for loss of data, profits, or business, arising from your use of the app or the hosted services.

Termination

We may suspend or block access to hosted services for violations of these terms. Your rights to the software under the AGPL are unaffected.

Changes

We may update these terms as the product evolves. The current version, with its effective date, always lives at this page. Continued use after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the jurisdiction in which Paracosmos Studio Inc. is established, without regard to conflict of law rules.
